Last Updated: [Add Date] These Vendor Terms and Conditions (“Agreement”) govern the relationship between Deziti IT Solutions (“Company”) and any individual or business registered as a Vendor on our platform. By registering as a Vendor, you agree to comply with all terms stated below. 1. Vendor Eligibility To become a Vendor, you must: Be at least 18 years old Provide accurate, complete, and verifiable business information Use a valid, permanent email address (disposable/temporary emails are strictly prohibited) Agree to follow all applicable laws and platform policies The Company reserves the right to approve, reject, or suspend vendor accounts at its discretion. 2. Vendor Account Responsibility Vendors are responsible for maintaining the confidentiality of login credentials. All activities performed under the vendor account will be deemed as actions of the Vendor. Sharing access with unauthorized persons is prohibited. Deziti IT Solutions is not liable for losses caused by vendor negligence. 3. Scope of Vendor Services Vendors may: Use the platform to manage clients, campaigns, or services as permitted Access dashboards, tools, and reports assigned to their role Promote or resell services only with Company authorization Vendors must not: Misrepresent Deziti IT Solutions or its services Offer false guarantees or misleading claims Resell or redistribute software without written permission 4. Acceptable Use Policy Vendors shall NOT use the platform for: Spam, harassment, or unsolicited communication Illegal, fraudulent, or deceptive activities Sending content without recipient consent Adult, gambling, hate, or prohibited content Violating WhatsApp, Meta, TRAI, or IT Act regulations ⚠ Violation may result in immediate vendor termination without refund or notice. 5. Bulk WhatsApp Services Disclaimer Deziti IT Solutions provides software and technical tools only. Message delivery, number safety, and WhatsApp account status depend on usage behavior. We do not guarantee WhatsApp number protection from blocking or banning. Vendors are fully responsible for message content and compliance. 6. Payments, Commission & Billing Vendor pricing, commissions, or payouts (if applicable) will be communicated separately. All platform charges are advance and non-refundable. Payment delays may result in account suspension. The Company reserves the right to revise pricing or commission structures. 7. Client Data & Confidentiality Vendors must keep all client data strictly confidential. Sharing, selling, or misusing client data is prohibited. Vendors must comply with applicable data protection laws. Breach of confidentiality may result in legal action. 8. Intellectual Property All software, dashboards, designs, trademarks, and content belong to Deziti IT Solutions. Vendors are granted limited, non-transferable access only. Copying, modifying, reverse-engineering, or reselling is strictly prohibited. 9. Account Suspension & Termination Deziti IT Solutions reserves the right to: Suspend or terminate vendor accounts without prior notice Remove access due to policy violations, misuse, or legal risk Disable services if vendor actions damage company reputation Termination does not entitle vendors to refunds or compensation. 10. Limitation of Liability Deziti IT Solutions shall not be liable for: Business loss, revenue loss, or data loss WhatsApp number blocking or platform restrictions Third-party service interruptions Client disputes handled by vendors Use of the platform is entirely at vendor’s own risk. 11. Indemnification Vendors agree to indemnify and hold Deziti IT Solutions harmless from: Claims arising from vendor misuse Legal penalties caused by vendor actions Client disputes or regulatory violations 12. Modifications to Terms The Company may update these Vendor Terms at any time. Continued use of the platform constitutes acceptance of updated terms. 13. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of Karnataka courts. 14.
